Terms of Sale and License

These terms apply when you buy or use Agents HQ (the "App"), sold by Hyperkits Industries LLC ("we", "us"). By buying, installing or using the App you agree to them.

1. Your license

When you pay, we give you a personal, non-exclusive, non-transferable license to install and use the App for your own business or personal use, on up to 2 computers you own or control. You may not resell, rent, share, sublicense or publish the App or your license key, or remove its notices.

2. What you may not do

• Copy the App except to install it on your own computers as allowed above.
• Reverse engineer, decompile or modify the App, except where the law allows it despite this limit.
• Get around the license check, or use the App to break the law or the terms of your AI provider.
• Reuse the App's artwork, characters or office map outside the App.

3. Your AI provider

The App works by connecting to Anthropic or OpenAI with an API key from your own account. Your use of those services is between you and that provider, under their terms and pricing. You are responsible for your AI usage charges. The cost meter and spending limits in the App are estimates that help you manage spend; your provider's bill is the final word.

4. AI output

Agents produce drafts using AI. AI can be wrong, incomplete or out of date. Review everything before you send, publish or rely on it. Nothing the App produces is legal, tax, financial, permit, real estate or other professional advice. You are responsible for how you use the output.

5. Updates and support

The App checks your license online about once a week and needs an internet connection at least once every 30 days. Your purchase includes updates to the Windows version of the App for as long as we publish them, delivered automatically. We provide support by email through our support page. We may change or stop features, and we don't promise the App will always be available or error-free.

6. Price, payment and refunds

The price is shown at checkout and charged once. Payments are processed by Stripe. You can get a full refund within 14 days of purchase as described in our refund policy. When a purchase is refunded or charged back, its license key is turned off and the App stops working on your computers within about a week, the next time it checks your license online.

7. Ownership

We and our licensors own the App, including its code, artwork, characters and office map. The work your agents produce for you is yours, subject to your AI provider's terms.

8. No warranty

Apart from the refund guarantee above, the App is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.

9. Limit of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, lost profits or lost data, or for AI provider charges. Our total liability for any claim about the App is limited to the amount you paid for it.

10. Ending the license

Your license ends automatically if you break these terms or your purchase is refunded or charged back. When it ends, stop using the App and uninstall it.

11. Governing law

These terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules, except where the consumer laws of your home country give you rights that can't be waived.
